    Senior Legal Counsel provides transactional legal support to DeVry University (“DVU”) leaders on matters of critical importance, as well as serve and build working relationships with leaders and support departments.  S/he has a broad substantive skill-set, plus the interpersonal strengths, resourcefulness and drive to handle directly DVU’s wide ranging commercial and IP legal needs.  S/he is willing to perform a variety of tasks to fill coverage gaps and takes initiative and ownership in assigned projects specifically and service to the organization generally.




    Essential Duties, Roles, and Responsibilities:



    ·         Primary lawyer responsible for providing legal support and counseling for DVU procurement and sales activities, handling the day-to-day review, structure, drafting, negotiation and implementation of complex commercial agreements to achieve acceptable risk levels.

    ·         Provide guidance and leadership to contract management team on the review, negotiation and drafting of commercial agreements and transactions.

    ·         Foster strong relationships with the various business segments and functional departments, and develop a deep understanding of their strategies and objectives to better serve their needs.

    ·         Ensure that company form agreements and templates, as well as contract negotiation playbooks, and legal and business processes are up to date with respect to applicable laws/regulations and best practices.

    ·         Develop and deliver training to various DVU stakeholders on contract law, form contracts and contract policies and processes to facilitate risk management and mitigation and higher velocity contracting.

    ·         Work with internal partners and outside counsel to prepare, negotiate and finalize contracts for the purchase of products and services and sale of services via DVU’s DeVryWORKS division and supporting documents.

    ·         Develop an understanding of business requirements behind each contract and actively participate in negotiations of such contracts.

    ·         Manage commercial claims with in-house and outside counsel while minimizing cost and risk.

    • Provide counseling to DVU on commercial claims.


    Intellectual Property

    ·         Serve as primary intellectual property counsel, through management of outside counsel as necessary and appropriate. 

    ·         Areas of IP coverage include trademark registration and clearances; maintaining and enforcing DVU’s intellectual property portfolio; working to implement best practices and strategies for managing legal risks in order to avoid litigation; managing negotiation of IP licensing agreements, services agreements, development agreements, nondisclosure agreements; counseling internal stakeholders of all levels as to IP issues arising from business initiatives.


    Real Estate

    ·         Primary lawyer responsible for providing legal support and counseling to the DVU Facilities Management team.

    ·         Work with internal partners and outside counsel to prepare, negotiate and finalize campus and other facility leases, construction agreements and supporting documents.

    ·         Resolve property management issues by negotiating landlord disputes, drafting settlement agreements and supporting other attorneys in DVU Legal managing related litigation.

    ·         Facilitate permitting and compliance efforts including managing outside counsel and vendors and reviewing ordinances and applications.

    ·         Address vendor matters, including contracting issues and disputes, damage claims and mechanics liens.


    Data Security/Privacy

    ·         Act as legal subject matter expert in information security, consumer privacy, disaster recovery/business continuity, unauthorized access to customer information, identity theft prevention, risk management, fraud and other areas. Work closely with appropriate functions to continually enhance DVU’s compliance with privacy laws and regulations and preparedness for data breaches.


    Essentials in Execution

    ·         Learn the critical aspects of DVU operations to inform legal advice and assist in detection of dormant legal issues.

    ·         Ensure that legal services provided to DVU are solutions-oriented and aligned with strategic goals, mission, and objectives and in compliance with all applicable laws. 

    ·         Pragmatically assess and present legal risks, providing alternative solutions to minimize liability exposure while achieving business goals.

    ·         Design and conduct in-house training sessions for business partners regarding relevant legal issues in areas of responsibility.

    ·         Maintain professional growth and development through seminars, workshops, and professional affiliations to keep abreast of latest developments in applicable areas of law.

    ·         Build productive working relationships with other functional areas that allow for collaborative support to DVU.

    •  J.D. from an accredited law school.
    • Must be in good standing with the Illinois State bar.
    • 6-10 years prior experience as an attorney practicing commercial law in a law firm or corporate in-house legal department, with at least 3 years in-house pred.
    • Strong problem-solving skills with the ability to quickly assess potential for risk and opportunity and identify practical solutions to mitigate risk while driving towards strategic goals.
    • Exemplary analytical and interpretation skills; strong legal research, writing, negotiation and organizational skills.
    • Ability to effectively communicate and collaborate with business partners at all levels of the organization, including senior management.
    • Must be able to exercise sound judgment and work independently and efficiently under time pressures and deadlines in a fast-paced environment with attention to detail.
    • Possesses strong work ethic and customer service orientation and ability to prioritize conflicting demands from multiple business partners.
